NYFTTA Meeting Proposals June 11, 2002


Proposal 1)
Submitted on behalf of the NYFTTA membership

Clarification:
Upon failure of the Sport Fishing Alliance LTD to execute a lease agreement
between the Town of Babylon and The Sport Fishing Alliance LTD (by 6/1/02,)
the Stipulations of Proposal 2) known as the Divestiture Proposal (Passed
4/9/02) will be enacted and revert control of the Sport Fishing Education
Center to NYFTTA.

Reference: 4/9/02
Stipulations:
1) Conditions of Occupancy of the Sport Fishing Education Center and
Authority to operate the Center, will be conditional upon the Alliance
conforming and abiding by, the contracts and conditions of any and all
agreements negotiated between NYFTTA and the Town of Babylon (including any lease agreement)
2) Will execute a lease agreement, by June 1, 2002, between the Sport
Fishing Alliance and the Town of Babylon.

Proposal:
NYFTTA will retain control of the Sport Fishing Education Center.
Including, however not limited to, running the day to day operations of the
center.
NYFTTA will:
1) Contract with the Sport Fishing Alliance LTD, to run the educational
programs for NYFTTA at the Sport Fishing Education Center.
2) Contract with the Sport Fishing Alliance LTD, to operate and coordinate
all marine research and development programs for  NYFTTA at the Sport
Fishing Education Center.
3) Contract with the Sport Fishing Alliance LTD, to operate the aquaculture
facility for  NYFTTA at the Sport Fishing Education Center.

NYFTTA will invoke the following provision of proposal 1B Passed 11/13/01:

5) (Transfer of authority)

To form a commission to oversee the project coordinator and the center from
within the Sport Fishing Education Center Steering Committee..
The committee will be comprised of:
Chairman
Co-Chair
President of the board
NYFTTA Ex. Director
No less than two board members
And Others approved by the Sport Fishing Education Center Steering chairman
with a maximum of 10 members and the Chairman
A quorum remains at a total of 3 members of the Sport Fishing Education
Center Steering along with the chairman or co-chair.

To adopt the following:
The Sportsman's Advisory Committee will henceforth act only as an advisory
committee to the Sport Fishing Education Center Steering Committee
regarding to the centers activities, policy, total operations, Expensing of
SAC funds, ETC. 
SAC funds will remain as a designated fund for the sole purpose of center
activities, Expensing of salaries and funding of projects or proposals
approved by the Sport Fishing Education Center Steering committee.
The SAC authority will be limited to an advisory capacity with no authority
to act unless approve by the NYFTTA board or by order of the Sport Fishing
Education Center Steering Committee.  However all centers activities
proposals, policies, Expensing of SAC funds adopted as of this date will
remain adopted as policy unless revoke by the Sport Fishing Education
Center Steering Committee of the NYFTTA board.

The Sport Fishing Education Center Steering will meet with and discuss all
centers activities, policy, total operations, Expensing of SAC funds, ETC
with the Project coordinator on a Monthly basis.  The meetings may be made
via phone conference calls at a designated time and date agreeable to a
majority of steering committee members.

Sport Fishing Education Center Steering will report quarterly to the board
its decisions regarding the Sport Fishing Education centers activities,
policy, total operations, Expensing of SAC funds, ETC

The Sport Fishing Education Center Steering may act independently in
accordance with the NYFTTA bylaws.

And will include:
Negotiating all contracts and terms of agreements with the Sport Fishing
Alliance LTD

NYFTTA will retain control of:
1) All income and fees associated with the use of the Sport Fishing
Education Center
Including, however not limited to, the income generated from the sale of
items from the "Gift Shop."
2) The capitol campaign naming program
3) Any grants and/or donations associated with the operations of the Sport
Fishing Education Center.
However, any and all funds will be retained in the NYFTTA SAC account and
used for operating the Sport Fishing education Center.

NYFTTA will compensate the Sport Fishing Alliance LTD for contracted
services as follows:
1) $1.00 per year for contracted services as follows:

NYFTTA will:
1) Contract with the Sport Fishing Alliance LTD, to run the educational
programs for NYFTTA at the Sport Fishing Education Center.
2) Contract with the Sport Fishing Alliance LTD, to operate and coordinate
all marine research and development programs for  NYFTTA at the Sport
Fishing Education Center.
3) Contract with the Sport Fishing Alliance LTD, to operate the aquaculture
facility for  NYFTTA at the Sport Fishing Education Center.

The Sport Fishing Alliance LTD may solicit for funds, in any manner deemed
appropriate, for the operation of educational programs, research and/or
operation of the aquaculture center, by using or associating their
involvement with the Sport Fishing Education Center.

The Sport Fishing Alliance LTD will provide adequate liability insurance
before commencing operations within the Sport Fishing Education Center.

NYFTTA will retain Lenora Daniel as project coordinator for the Sport
Fishing Education Center.  The terms of agreement will be on a month to
month basis.  suspending of services will be subject to board approval.

Fishing education Center.

Proposal 5)

Ratification of the NYFTTA budget for 2002-2003
A quorum being present and in executive session, the board, upon a 2/3
majority of voting members, may accept the budget.

Proposal 6)

Reauthorization of the following proposal:

Proposal 10)

A) To authorize the President of NYFTTA to negotiate any and all terms,
arrangements, agreements, contracts and /or leases between the Town of
Babylon and NYFTTA, regarding any terms, arrangements, contracts and /or
leases having to do with the Sport Fishing education Center.

B) Any and all terms, arrangements, agreements, contracts and /or leases
will be reviewed and approved by the NYFTTA legal council prior to
implementation.

C) Upon agreement and acceptance of any or all terms, arrangements,
agreements, contracts and /or leases between the Town of Babylon , the
president of NYFTTA and the NYFTTA legal council, execution of any or all
terms, arrangements, agreements, contracts and /or leases will be
considered a board approved and ratified agreement between The Town of
Babylon and NYFTTA.
A copy of any and/or all  terms, arrangements, agreements, contracts and
/or leases will be filed with:
1) copy with the NYFTTA attorney, 1) copy with the NYFTTA secretary, 1)
copy with the NYFTTA treasurer and 1) copy with the president of the board.
